1. Valuation

2. Contract

We use a contractual listing agreement similar to those used in real estate.  There are licensing contingencies and financial arrangements unique to the cannabis industry and we put them in writing to protect both the Seller and the Buyer.

3. Buyer List

5. Offers

Offers include many provisions and conditions apart from Price.  We have the  experience and the knowledge of state and local taxes, permits & zoning, upcoming changes in the law, valuation approaches to inventory, patient base, explicit verification of financials on both sides, and time limits to everything.  

6. Due Diligence

A Letter of Intent is drafted between the Buyer and the Seller outlining the terms of the saleThe verifying of all contractual conditions, especially financials on the buyer side and business statements on the seller side.  

7. Final Negotiations

There are a lot of documents involved.  The Purchase Agreement, a Non-compete agreement, assignment and assumption agreements,  disclosure schedules, to name the most salient.  Each of these is paramount to ensuring a smooth closing without contractual ambiguities.  

8. Closing
